I am upgrading my computer now. I need a new motherboard but I'm a bit confused. WHat is the difference between a motherboard and a processor and what should I get for about $300-400? thanx

The motherboard is the "mother" of the computer. It is what everything plugs in to (the processor, ram, video card, network card, hard drives, cd drives, etc). The processor is a chip that does the actual math for the programs running on your computer.
What are the specs of your current system? It's hard to tell you what to get without knowing what you already have. ;)
As far as motherboards go, ASUS is your friend. If you're going the Intel route, getting a pure Intel board doesn't hurt either (that's what I run and it has yet to fail me.)

Epox 8rda with an XP 2100+ processor = $168.47
GeIL DDR PC 2700 512MB stick = $66.00 x 2 = $132
